The Board of Directors (the "Board") of Hudson's Bay Company (the "Company") encourages shareholder attendance and participation at the Company's annual shareholder meetings as it provides a valuable opportunity to discuss the Company, its corporate governance and other important matters. Outside of the Company's annual meeting, shareholders may contact the Board by postal mail to the following address:

The Corporate Secretary has been designated by the Board as its agent to receive and review communications and meeting requests addressed to the Board. The Company has determined that certain items which are unrelated to the duties and responsibilities of the Board should be excluded, such as:
- product complaints
- product inquiries
- new product suggestions
- resumes and other forms of job inquiries
- business solicitations or advertisements.
In addition, material that is unduly hostile, threatening, illegal or similarly unsuitable will be excluded, with the provision that any communication that is filtered out must be made available to any non-management director upon request.
